Client = The person engaging the services of the Mentor. The Sponsor is the organization paying for the services.
Mentor = Ian Jacobsen CMC, FIMC
Fees: A fee is to formalize a serious business relationship between the Client and JC, and compensate for the portion of the Mentor's life devoted to the success of the Client. After the Client's goals and period for the mentorship are established, the Client will propose a fee recognizing the value of the relationship and anticipated results over the ensuing period. If that is acceptable to the Mentor, it is the fee for that period. If it isn't, the Mentor will propose a fee that is. For the engagement to proceed, both parties must agree to an acceptable fee.
Payments: JC will prepare and submit an invoice for the agreed-to fee, which is due and payable at the start of the engagement. Each invoice is due on the indicated Due Date. Any payment not received within 15 days of that date is a breach of contract. Services are suspended while an account is delinquent.
Travel: Local travel to and from meetings is included in the engagement fee.
Schedule changes: Requested schedule changes should provide enough notice to permit the person requested to reschedule to use the time productively.
Information and Confidentiality: JC will have access to the information and people needed to provide the Client with agreed-to mentoring. Information provided in confidence will be kept confidential. No information specific to the Client or Sponsor will be disclosed or used without specific permission of the Client or Sponsor, unless it relates to criminal activity.
Feedback: The Client understands and accepts that mentoring involves a process of discovery that may involve feedback that, at times, may be upsetting, and that such feedback is provided in the spirit of helping the Client.
Advice and responsibility: When the Client asks the Mentor for advice, it will be based on information provided and will reflect the perspective of what it takes to bring out the best in people. This may involve legal risk. In legally sensitive situations, the Client agrees to obtain a legal review before implementation, and accepts full responsibility for all decisions and actions based on the advice given.
Satisfaction: JC strives for 100% client satisfaction. If JC fails to perform to an acceptable level of client satisfaction, the fee for the part of the engagement in question will be refunded.
Problem resolution: Either party must address any issue that may jeopardize satisfactory completion of this engagement as soon as it is sensed. If it cannot be resolved satisfactorily in informal negotiations, both parties agree to mediation using a mutually agreed-to mediator instead of taking legal action.
Liability: Liability of JC will be limited to the fees received for this engagement. In case legal action is taken against JC by current or former employees of the Sponsor related to actions taken by the Client, the Client or Sponsor will indemnify JC for all legal expenses and awards in connection with the legal action.
Force Majeure: In the event of a catastrophe that affects the business of either party, this agreement will be revised to take into account the effect of the event on completing this engagement.
Termination: This agreement may be terminated by mutual agreement with fees prorated for services provided to the time of termination.
